These Terms of Service ("Terms") govern your use of yuanxiatech1996.com (the "website") and any services provided by YUANXIA TECHNOLOGY INC ("we", "us", "our"). By accessing the website or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using this website, submitting an inquiry, or entering into a service engagement with us, you confirm that you accept these Terms and that you have the authority to accept them on behalf of any organization you represent. If you do not agree with any part of these Terms, please do not use the website or our services. Specific engagements may be governed by a separate written agreement; where a signed agreement conflicts with these Terms, the signed agreement prevails for that engagement.

2. Services Description

YUANXIA TECHNOLOGY INC provides technology consulting services including cloud infrastructure design and management, cloud migration, managed cloud operations, online advertising management (including Google Ads), and data analytics and reporting. Descriptions of services and pricing packages on this website are indicative; the scope, deliverables, timelines and fees for any engagement are confirmed in a written proposal or statement of work before work begins.

While we apply professional skill and care in all engagements, we do not guarantee specific business outcomes such as revenue figures, conversion rates or search rankings, as these depend on factors outside our control.

3. Payment Terms

Monthly packages are billed in advance on a recurring basis and may be cancelled with thirty (30) days’ written notice;
Fixed-scope projects are billed according to the milestone schedule in the applicable statement of work;
Advertising budgets are paid by the client directly to the advertising platforms; our management fees are separate;
Unless otherwise agreed in writing, invoices are payable within fourteen (14) days of issuance. Late payments may accrue interest at the maximum rate permitted by applicable law and may result in suspension of services.

4. Intellectual Property

All website content — text, graphics, logos and design — is the property of YUANXIA TECHNOLOGY INC or its licensors and is protected by applicable intellectual property laws. You may not reproduce or repurpose it without written permission.

For engagements: you retain full ownership of your data, accounts and advertising history. Upon full payment, deliverables created specifically for you (such as infrastructure code, documentation and reports) are transferred to you, subject to any third-party license terms embedded in the deliverables (for example, open-source components). Our pre-existing methodologies, tooling and know-how remain ours, licensed to you internally for use with the deliverables.

5. Limitation of Liability

To the maximum extent permitted by law, YUANXIA TECHNOLOGY INC shall not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or business interruption, arising from or related to the website or our services. Our total aggregate liability for any claim arising out of or relating to the services is limited to the fees paid by you to us for the service giving rise to the claim during the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, including liability for willful misconduct or gross negligence where such limitation is prohibited.

6. Termination

Either party may terminate an engagement as described in the applicable agreement. Monthly services may be cancelled with thirty (30) days’ notice as described in the Payment Terms. Upon termination, we will provide reasonable assistance to transition services, deliverables and account access back to you or to a provider of your choosing. Provisions that by their nature should survive termination (intellectual property, confidentiality, limitation of liability, governing law) remain in effect.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the state and federal courts located in Denver, Colorado.
